4. Service Scope

EWONAZ LLC provides software and web application development services based on the requirements agreed with each client.

The exact scope of a project may include:

  • Requirements analysis

  • Software architecture

  • UI/UX development

  • Frontend development

  • Backend development

  • Database development

  • API development

  • Third-party integrations

  • Business automation

  • User authentication

  • Administrative dashboards

  • Testing and debugging

  • Deployment assistance

  • Technical documentation

  • Agreed revisions

  • Other development work specifically listed in the applicable proposal or project agreement

Services not specifically included in the agreed scope may be treated as additional work.

5. One-Time Payment Model

EWONAZ LLC generally provides project-based development packages using a one-time payment model.

Unless otherwise stated in writing:

  • Our packages are not subscription-based.

  • Clients are not automatically charged recurring subscription fees for the development package.

  • The agreed project price covers only the services and deliverables specified in the applicable package or project agreement.

  • Additional work, third-party services, hosting, licenses, domains, paid APIs, or other external expenses may be charged separately where applicable.

A one-time development payment does not automatically mean that all future maintenance, hosting, third-party services, upgrades, or additional features are included indefinitely.

6. Pricing and Quotations

Prices displayed on our website may represent general package information and may not cover every requirement of a specific project.

A final project price may depend on factors including:

  • Project complexity

  • Number of features

  • Number of pages or application modules

  • User roles

  • Database requirements

  • API integrations

  • Third-party services

  • Custom functionality

  • Design requirements

  • Security requirements

  • Deployment requirements

  • Technical complexity

  • Requested revisions

A quotation or proposal issued specifically for your project will take precedence over general website pricing information where there is a conflict.

Unless otherwise stated, quotations are valid only for the period specified in the quotation.

7. Payment Terms

Payment requirements will be communicated in the applicable quotation, invoice, or project agreement.

Depending on the project, EWONAZ LLC may require:

  • Full payment before development begins;

  • A project deposit before work begins;

  • Milestone-based payments;

  • Payment upon completion of specified project stages; or

  • Another payment structure agreed in writing.

The client is responsible for making payments by the applicable due dates.

Failure to make a required payment may result in:

  • Suspension of development;

  • Delayed delivery;

  • Suspension of access to project materials;

  • Additional administrative costs where applicable; or

  • Termination of the project agreement.

8. Payment Processing

Payments may be processed through third-party payment providers.

EWONAZ LLC does not necessarily control the systems operated by third-party payment providers.

You agree to comply with the applicable terms and policies of the payment provider used for your transaction.

We are not responsible for technical failures, delays, account restrictions, or other issues caused directly by a third-party payment processor.

9. Project Requirements

Before development begins, the client is responsible for providing accurate project requirements and relevant information.

Depending on the project, this may include:

  • Business requirements

  • Content

  • Logos

  • Brand assets

  • Images

  • Product information

  • User requirements

  • Workflow information

  • Existing software details

  • API credentials

  • Integration information

  • Hosting information

  • Domain information

  • Technical specifications

Delays in providing required information may affect project timelines.

10. Client Responsibilities

The client agrees to cooperate reasonably throughout the project.

Client responsibilities may include:

  1. Providing accurate requirements.

  2. Providing necessary content and materials.

  3. Providing timely feedback.

  4. Reviewing deliverables.

  5. Providing access to required third-party services.

  6. Approving designs or functionality when requested.

  7. Making payments on time.

  8. Ensuring that supplied materials do not violate third-party rights.

  9. Providing appropriate decision-makers for project approvals.

  10. Informing EWONAZ LLC of material changes to project requirements.

EWONAZ LLC is not responsible for delays caused by the client’s failure to fulfill these responsibilities.

11. Project Scope

The project scope will be determined by the agreed package, proposal, quotation, statement of work, or written project specifications.

Features not included in the agreed scope may require an additional quotation.

Examples of potentially additional work include:

  • New application modules

  • Additional pages

  • New user roles

  • Additional API integrations

  • Additional payment gateways

  • Additional automation workflows

  • Major design changes

  • New database structures

  • Additional reporting functionality

  • New third-party services

  • Significant changes to approved functionality

We recommend that clients communicate additional requirements as early as possible.

12. Changes and Scope Creep

Clients may request changes during development.

Minor reasonable adjustments may be handled within the agreed scope where practical.

However, substantial changes may be treated as additional work.

Additional charges may apply where a requested change:

  • Adds new functionality;

  • Changes an approved workflow;

  • Requires substantial redevelopment;

  • Changes the technology architecture;

  • Requires additional integrations;

  • Increases development time significantly; or

  • Requires work outside the original agreement.

EWONAZ LLC will communicate material additional costs before proceeding where reasonably possible.

13. Design and Development Revisions

Where revisions are included in a project package, they apply to the agreed project scope.

A revision means a reasonable modification to previously agreed functionality or design.

A revision does not automatically include a completely new concept or substantial change in project direction.

Repeated or substantial revisions may result in additional charges.

The number of included revisions, if any, will be specified in the applicable project agreement.

14. Project Timeline

Estimated project timelines are based on the information and requirements available when the estimate is prepared.

Delivery times may depend on:

  • Project complexity

  • Client responsiveness

  • Content availability

  • Third-party integrations

  • API availability

  • Approval times

  • Scope changes

  • Technical issues

  • Third-party service availability

  • Hosting or deployment requirements

Unless expressly guaranteed in a written agreement, project timelines are estimates rather than guaranteed delivery dates.

15. Delays Caused by the Client

EWONAZ LLC is not responsible for delays caused by:

  • Late content delivery;

  • Late approvals;

  • Delayed feedback;

  • Unavailable client representatives;

  • Missing credentials;

  • Changes in requirements;

  • Delayed payments;

  • Third-party account problems;

  • Delayed access to external systems; or

  • Other circumstances outside our reasonable control.

Where a project is delayed for these reasons, the delivery schedule may be adjusted accordingly.

16. Third-Party Services

Software projects may require third-party services, including:

  • Hosting providers

  • Domain registrars

  • Payment processors

  • Cloud platforms

  • Email providers

  • SMS services

  • Maps and location services

  • Analytics services

  • Authentication providers

  • External APIs

  • Software libraries

  • Plugins

  • Stock assets

  • Other external platforms

Third-party services may have separate fees, limitations, terms, privacy policies, or technical requirements.

Unless explicitly included in the project agreement, third-party fees are the client’s responsibility.

17. API and Integration Limitations

API and system integrations depend partly on the functionality and availability of external services.

EWONAZ LLC cannot guarantee uninterrupted operation of third-party APIs or external systems.

Changes made by third-party providers may require modifications to an integration.

Additional development fees may apply if a third-party provider changes its API or requirements after the original project has been completed.

18. Hosting and Domain Services

Unless specifically stated in the project agreement, domain registration, hosting, cloud infrastructure, SSL certificates, email hosting, storage, bandwidth, and related services are not automatically included in a development package.

Where EWONAZ LLC assists with these services, applicable third-party costs may be charged separately.

The client remains responsible for maintaining third-party accounts where those accounts are registered in the client’s name.

19. Software Ownership

Ownership of custom-developed project deliverables will be determined by the applicable project agreement.

Where full ownership is explicitly transferred to the client after all applicable payments have been received, the transfer applies only to the agreed custom deliverables.

Unless otherwise agreed in writing, EWONAZ LLC retains ownership of:

  • Pre-existing code

  • Internal development frameworks

  • Reusable components

  • Generic libraries

  • Development tools

  • Templates

  • Internal methodologies

  • General-purpose technical knowledge

  • Third-party software

  • Open-source software

  • Other materials not specifically created exclusively for the client

20. Intellectual Property

The client is responsible for ensuring that all materials supplied to EWONAZ LLC may legally be used.

This includes:

  • Logos

  • Images

  • Fonts

  • Text

  • Videos

  • Audio

  • Software

  • Data

  • Designs

  • Documents

  • Brand materials

The client represents that it has the necessary rights, licenses, and permissions to provide such materials.

The client agrees to indemnify EWONAZ LLC against claims arising from materials supplied by the client that infringe third-party rights, subject to applicable law.

21. Open-Source Software

Software projects may use open-source libraries and frameworks.

Open-source components remain subject to their respective licenses.

EWONAZ LLC does not transfer ownership of third-party open-source software that it does not own.

Clients agree to comply with applicable open-source license requirements.

22. Third-Party Intellectual Property

EWONAZ LLC will not knowingly provide third-party copyrighted or proprietary material without appropriate authorization.

Clients are responsible for ensuring that any materials they request us to implement are legally usable.

Where third-party software, assets, or services are required, the applicable owner or provider may retain ownership.

23. Confidentiality

EWONAZ LLC will take reasonable steps to protect confidential information shared by clients for project purposes.

Confidential information may include:

  • Business plans

  • Technical information

  • Customer information

  • Product concepts

  • Internal processes

  • Credentials

  • Pricing information

  • Non-public documentation

Confidential information will not intentionally be disclosed to unauthorized parties except where required to provide the services, comply with law, protect rights, or where the information is already publicly available.

Clients are also expected to protect confidential information received from EWONAZ LLC.

24. Client Data

The client remains responsible for the legality, accuracy, and appropriate use of data supplied for a project.

Clients should not provide information that EWONAZ LLC is not authorized to process.

Where personal or sensitive information is involved, clients are responsible for determining their applicable legal and regulatory obligations and providing appropriate instructions.

25. Security

EWONAZ LLC takes reasonable technical considerations into account when developing software.

Depending on project requirements, security measures may include:

  • Authentication

  • Authorization

  • Access controls

  • Secure API communication

  • Input validation

  • Data protection

  • Secure development practices

However, no software system can be guaranteed to be completely immune from security vulnerabilities.

Clients are responsible for maintaining secure passwords, access credentials, hosting environments, and third-party accounts under their control.

26. Testing and Quality Assurance

EWONAZ LLC may conduct appropriate testing based on the nature and scope of the project.

Testing may include:

  • Functional testing

  • Interface testing

  • Responsive testing

  • Integration testing

  • Database testing

  • Workflow testing

  • Error testing

The specific level of testing depends on the project scope.

Clients are encouraged to review and test delivered functionality before final approval.

27. Bugs and Defects

If a delivered feature does not function substantially according to the agreed specifications because of a development defect, EWONAZ LLC may investigate and correct the issue where it falls within the agreed support or warranty period.

Issues caused by:

  • Client modifications;

  • Third-party services;

  • Hosting problems;

  • Changes to external APIs;

  • Unsupported environments;

  • New requirements;

  • User error; or

  • Changes outside EWONAZ LLC’s control

may not qualify as development defects.

28. Maintenance and Support

Maintenance and support are not automatically included indefinitely with a one-time development package unless explicitly stated in writing.

Additional support may include:

  • Bug fixes

  • Software updates

  • Feature improvements

  • Performance optimization

  • Security-related updates

  • API updates

  • Technical assistance

  • System monitoring

  • Maintenance

Where these services are requested after the original project has been completed, EWONAZ LLC may provide them under a separate quotation or agreement.

29. Delivery and Acceptance

A project may be considered delivered when the agreed deliverables have been made available for client review.

The client is expected to review the deliverables within a reasonable period.

Where the client approves the project, uses the delivered system in production, or does not identify material issues within the applicable review period stated in the project agreement, the deliverables may be considered accepted.

Specific acceptance procedures may be established in the applicable statement of work.

30. Client Approval

Approvals may be provided through email, project management systems, written confirmation, or another agreed communication method.

Once a major project component has been approved, substantial changes to that approved component may be treated as additional work.

Clients should carefully review approvals before confirming them.

31. Cancellation by Client

A client may request cancellation of a project.

Cancellation terms depend on the project’s payment structure and written agreement.

Where development work has already been performed, the client may remain responsible for payment for completed work, approved milestones, non-refundable third-party costs, and other amounts properly due under the applicable agreement.

Cancellation does not automatically entitle a client to a full refund.

32. Cancellation by EWONAZ LLC

EWONAZ LLC may suspend or terminate services where:

  • Payments remain overdue;

  • The client materially breaches these Terms;

  • The client requests unlawful or harmful activity;

  • The client repeatedly fails to provide required information;

  • The client engages in abusive or threatening behavior;

  • Continuing the project creates unreasonable legal or security risks; or

  • Another material contractual reason exists.

Where appropriate, we may provide notice and an opportunity to resolve the issue before termination.

33. Refunds

Refund eligibility depends on the applicable project agreement and the amount of work already completed.

Because software development involves time, planning, design, development, testing, and technical resources, payments for completed work may not be refundable.

Third-party fees paid on behalf of a client may also be non-refundable where the third-party provider does not provide a refund.

Any specific refund terms agreed in writing for a project will take precedence over this general section.

34. No Guarantee of Business Results

EWONAZ LLC provides technology development services.

We do not guarantee specific business outcomes such as:

  • Increased revenue

  • Increased customers

  • Increased traffic

  • Higher conversion rates

  • Increased profits

  • Market success

  • Investment returns

  • Specific operational savings

Software can support business objectives, but business results depend on many factors outside our control.

We make reasonable efforts to keep website information accurate, but we do not guarantee that every piece of information is always complete, current, or error-free.

Service descriptions, package information, features, prices, and availability may change without prior notice.

36. Availability of Services

We do not guarantee that our website or services will always be available without interruption.

Temporary interruptions may occur because of:

  • Maintenance

  • Hosting problems

  • Technical failures

  • Security incidents

  • Network issues

  • Third-party service outages

  • Circumstances beyond our reasonable control

We may modify, suspend, or discontinue portions of our website or services where reasonably necessary.

37. Limitation of Liability

To the maximum extent permitted by applicable law, EWONAZ LLC will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of our website or services.

This may include loss of:

  • Profits

  • Revenue

  • Business opportunities

  • Data

  • Goodwill

  • Expected savings

  • Business interruption

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

38. Client Responsibility for Backups

Clients are responsible for maintaining appropriate backups of important data unless backup services are expressly included in a written agreement.

Although reasonable precautions may be taken during development, EWONAZ LLC should not be treated as the sole custodian of client data unless specifically agreed.

Clients should maintain independent backups of important information and production systems.

39. Force Majeure

EWONAZ LLC will not be responsible for failure or delay caused by circumstances beyond reasonable control.

These circumstances may include:

  • Natural disasters

  • War

  • Terrorism

  • Government action

  • Internet outages

  • Major infrastructure failures

  • Cybersecurity incidents

  • Power failures

  • Labor disputes

  • Third-party service outages

  • Public health emergencies

  • Other extraordinary circumstances

Where reasonably possible, we will communicate material delays caused by such events.

40. Prohibited Projects and Activities

EWONAZ LLC reserves the right to refuse projects involving unlawful, fraudulent, abusive, malicious, or harmful activities.

We may decline to develop software intended to:

  • Facilitate illegal activity;

  • Defraud users;

  • Circumvent legitimate security controls;

  • Distribute malware;

  • Conduct unauthorized surveillance;

  • Infringe intellectual property rights;

  • Facilitate financial or identity fraud;

  • Harm individuals or organizations; or

  • Violate applicable laws or regulations.

EWONAZ LLC is not responsible for delays caused by incorrect or inaccessible contact information supplied by the client.

Our primary contact email is:

42. Marketing and Portfolio Rights

Unless otherwise agreed in writing, EWONAZ LLC may have the right to identify a completed project as part of its professional portfolio.

However, where a project contains confidential information or the client requests confidentiality in writing, EWONAZ LLC will consider reasonable restrictions on public disclosure.

EWONAZ LLC will not intentionally publish confidential client information without appropriate authorization.

43. Links to Third-Party Websites

Our website may contain links to third-party websites or services.

These links are provided for convenience or informational purposes.

EWONAZ LLC does not control third-party websites and is not responsible for their:

  • Content

45. Electronic Communications

When you communicate with EWONAZ LLC electronically, including through email or website forms, you consent to receiving electronic communications related to your inquiry, project, account, quotation, invoice, or services.

Electronic communications may satisfy applicable requirements for written communication where legally permitted.

46. Changes to These Terms

EWONAZ LLC may update these Terms and Conditions from time to time.

Changes may be made to reflect:

  • New services

  • Business changes

  • Legal requirements

  • Technology changes

  • Updated procedures

  • Changes in payment practices

  • Other operational requirements

The updated version will be published on our website with a revised effective or update date.

Your continued use of our website or services after an update may constitute acceptance of the revised Terms, subject to applicable law.

47. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where permitted.

The remaining provisions will continue to apply.

48. Waiver

Failure by EWONAZ LLC to enforce any provision of these Terms does not constitute a permanent waiver of our right to enforce that provision later.

A waiver must be expressly communicated in writing to be effective where required.

49. Entire Agreement

These Terms, together with any applicable quotation, proposal, statement of work, invoice, project agreement, and other written terms expressly incorporated into the engagement, constitute the agreement governing the applicable services.

If a specific written project agreement conflicts with these general Terms, the specific project agreement will generally control for that project to the extent of the conflict.

50. Governing Law

These Terms and any dispute arising from the use of our website or services will be governed by the applicable laws of the jurisdiction in which EWONAZ LLC is legally organized, except where applicable law requires otherwise.

Any dispute-resolution provisions contained in a specific project agreement may apply instead of this general provision where agreed in writing.

51. Dispute Resolution

We encourage clients to contact EWONAZ LLC first to attempt to resolve any dispute informally.

Before initiating formal legal proceedings, the parties should make reasonable efforts to discuss the issue and seek a practical resolution.

Nothing in this section prevents either party from exercising rights that cannot legally be waived or from seeking urgent legal relief where appropriate.

52. No Professional or Legal Advice

Information provided through our website is general information about software and web application development.

Nothing on our website should be interpreted as legal, financial, accounting, regulatory, cybersecurity, or other professional advice.

Clients should obtain appropriate professional advice where required for their specific circumstances.
